What is a business establishment?

Establishing a business is the process of forming a new economic organization according to the law. This includes preparing facilities, planning human resources, and carrying out legal procedures such as business registration to have a sufficient legal basis for the business.

Documents need to be prepared when establishing a business

Depending on their operational needs and business purposes, business owners need to prepare documents appropriate to each type of business they want to register. According to the provisions of Articles 21, 22, 23 and 24 of Decree 01/2021/ND-CP, business establishment registration documents for each type include:

For Private Enterprises

  • Application for business registration.
  • Copies of personal legal documents for private business owners.

For Partnership Companies

  • Application for business registration.
  • Company rules.
  • Members list.
  • Copies of the following documents:
    • Legal documents of company members;
    • Investment registration certificate for (in case the enterprise is established/participates in establishment by foreign investors or economic organizations with foreign investment capital).

For LLCs with 2 or more members, Joint Stock Companies

  • Application for business registration.
  • Company rules.
  • List of members for limited liability companies with two or more members; List of founding shareholders and list of shareholders who are foreign investors for joint stock companies.
  • Copies of the following documents:
    • Legal documents of the individual for the legal representative of the enterprise;
    • Legal documents of company members, founding shareholders, shareholders who are foreign investors;
    • Investment registration certificate in case the enterprise is established or participates in the establishment by foreign investors or economic organizations with foreign investment capital

For 1-member LLC

  • Application for business registration.
  • Company rules.
  • Copies of the following documents:
    • Legal documents of the legal representative of the enterprise;
    • Legal documents of the company owner (except in cases where the company owner is the State); Legal documents of the authorized representative and document appointing the authorized representative;
    • Investment registration certificate in case the enterprise is established by a foreign investor or an economic organization with foreign investment capital..
